Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Finnid platform, operated by
Leg-IT Collective, Lucknow, Uttar Pradesh, India ("Company", "we", "us", "our").
Finnid provides SaaS solutions for FPO/MSME ERP, market linkage, agri-tech, and related digital services
at finnid.in.
By creating an account or using any Finnid service, you ("User", "you", "your") agree to be bound by
these Terms. If you do not agree, do not use the platform.
1. Definitions
- "Platform" means the Finnid web application, APIs, mobile interfaces, and all related services.
- "Subscriber" means an organisation or individual with an active paid or trial subscription.
- "Content" means all data, text, images, documents, and materials uploaded or generated on the Platform.
- "Plan" means a subscription tier (Pure, Comprehensive, or custom) with defined features and pricing.
- "Partner" means a Distributor, Sub-Distributor, or Channel Partner operating under a Finnid agreement.
2. Account Creation & Eligibility
- You must be at least 18 years old and authorised to represent your organisation to create an account.
- You must provide accurate and complete information during registration, including business constitution, sector, KYC documents, and contact details.
- You are responsible for maintaining the confidentiality of your account credentials. All activities under your account are your responsibility.
- Email and/or mobile OTP verification is required for account creation, demo bookings, contact forms, and certain transactions.
- We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
3. Subscription & Billing
- Plans & Pricing: Subscription plans (Pure, Comprehensive, and vertical-specific plans for FPO ERP, Market Linkage, MSME ERP) are listed on our Pricing page. Prices are in Indian Rupees (INR) and exclude applicable GST unless stated otherwise.
- Billing Cycle: Subscriptions are billed monthly or annually as selected at the time of purchase. Annual plans may include discounts.
- Payment Processing: All payments are processed securely through CashFree Payments. We do not store your card or UPI details.
- Auto-Renewal: Subscriptions auto-renew at the end of each billing cycle. You may cancel auto-renewal from your dashboard before the renewal date.
- Refund Policy: Refund requests must be raised within 7 days of payment. Refunds are processed at our discretion and may be prorated for partial usage. Refunds are not available for annual plans after 14 days.
- Wallet & Commissions: Partner commissions, referral earnings, and wallet balances are subject to minimum payout thresholds and applicable TDS deductions.
- Plan Changes: You may upgrade or downgrade plans at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
4. Service Level Agreement (SLA)
- Uptime Target: We target 99.5% platform uptime per calendar month, excluding scheduled maintenance windows.
- Scheduled Maintenance: Planned maintenance will be communicated at least 48 hours in advance via email or in-app notification. Maintenance windows are typically between 00:00 and 06:00 IST on weekends.
- Incident Response: Critical incidents (platform down) will be acknowledged within 1 hour and resolved within 8 hours. Non-critical issues will be addressed within 2 business days.
- SLA Credits: If monthly uptime falls below 99.5%, Comprehensive plan subscribers may request service credits equal to 5% of their monthly fee for each additional 1% of downtime, up to a maximum of 30% of the monthly fee.
- Exclusions: SLA commitments do not cover downtime caused by force majeure events, third-party service outages (CashFree, Fast2SMS, data.gov.in), user-side network issues, or misuse of the platform.
5. Data Ownership & Portability
- Your Data: You retain full ownership of all data you upload, create, or generate on Finnid, including business records, member data, financial transactions, and documents.
- Data Export: You may export your data at any time using the platform's export features (CSV, PDF). Upon account termination, you may request a full data export within 30 days.
- Market Data: Aggregated and anonymised market intelligence data (commodity prices, demand trends) derived from platform usage may be used by Finnid to improve services and provide industry benchmarks. Individual business data will not be shared with competitors.
- Data Deletion: Upon written request, we will delete your personal and business data within 90 days, subject to legal retention obligations (tax records, audit trails).
- Licence Grant: By uploading Content, you grant Finnid a non-exclusive, worldwide, royalty-free licence to host, process, display, and transmit such Content solely for the purpose of providing the Platform services.
6. API Usage & Integrations
- API Access: API keys are available to Subscribers on eligible plans. API keys are confidential and must not be shared publicly or embedded in client-side code.
- Rate Limits: API calls are subject to rate limits based on your subscription plan. Exceeding rate limits may result in temporary throttling or suspension of API access.
- Acceptable Use: APIs must be used solely for integrating with your authorised business systems. Automated scraping, reselling of API data, or using APIs to build competing products is prohibited.
- Third-Party Integrations: Finnid integrates with CashFree, Fast2SMS, Mixis WhatsApp, Groq AI, data.gov.in, and other services. Use of these integrations is subject to the respective third-party terms and conditions.
- Versioning: We may update or deprecate API versions with at least 90 days notice. Deprecated API versions will continue to function for the notice period.
7. Partner Agreements
- Distributor & Sub-Distributor Roles: Partners are onboarded through a separate partnership agreement that defines commission structures, territories, and obligations.
- Commission Payouts: Partner commissions are calculated based on referred subscriber payments and are subject to the commission rates defined in the partnership agreement. Payouts are processed monthly to the registered bank account or wallet.
- Non-Compete: During the term of the partnership and for 12 months after termination, Partners agree not to promote or sell directly competing FPO/MSME ERP or market linkage platforms in their assigned territory.
- Termination: Either party may terminate the partnership with 30 days written notice. Outstanding commissions will be settled within 60 days of termination.
8. Intellectual Property
- The Finnid name, logo, brand identity, platform design, source code, algorithms, AI models, documentation, and all related intellectual property are owned exclusively by Leg-IT Collective.
- You may not copy, modify, reverse-engineer, decompile, or create derivative works of any part of the Platform without prior written consent.
- User-generated Content remains your intellectual property. By using the Platform, you do not transfer any IP rights to us beyond the limited licence described in Section 5.
- Trademarks of third-party services (CashFree, Google, Tawk.to, etc.) are the property of their respective owners.
9. Acceptable Use Policy
You agree not to:
- Use the Platform for any illegal, fraudulent, or harmful activity.
- Upload malicious software, viruses, or harmful code.
- Attempt to gain unauthorised access to other user accounts, systems, or data.
- Use the Platform to harass, defame, or infringe upon the rights of others.
- Resell, sublicence, or commercially exploit Platform access without authorisation.
- Manipulate market linkage data, RFQs, or commodity prices for fraudulent purposes.
- Circumvent rate limits, security measures, or access controls.
10. Limitation of Liability
- The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
- Finnid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- Our total aggregate liability for any claims arising out of or related to these Terms or the Platform shall not exceed the total fees paid by you to Finnid in the 12 months preceding the claim.
- We do not guarantee the accuracy, completeness, or timeliness of third-party data, including mandi prices from data.gov.in, and shall not be liable for business decisions made based on such data.
- We are not responsible for failures or delays caused by third-party services (payment gateways, SMS providers, AI services, government APIs).
11. Indemnification
You agree to indemnify and hold harmless Finnid, Leg-IT Collective, its directors, employees, and agents
from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your
use of the Platform, violation of these Terms, or infringement of any third-party rights.
12. Termination
- You may terminate your account at any time by contacting us at welisten@finnid.in or through your dashboard settings.
- We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees after a 15-day grace period.
- Upon termination, your right to access the Platform ceases immediately. You may request data export within 30 days of termination.
- Sections on Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution survive termination.
13. Dispute Resolution & Governing Law
- Governing Law: These Terms are governed by and construed in accordance with the laws of India.
- Jurisdiction: Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh, India.
- Arbitration: Before approaching the courts, both parties agree to attempt resolution through good-faith negotiation for 30 days. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed mutually. The seat of arbitration shall be Lucknow, India, and proceedings shall be conducted in English.
- Consumer Complaints: Subscribers may also raise grievances through the consumer grievance mechanism under the Consumer Protection Act, 2019 or the Information Technology Act, 2000 as applicable.
14. Force Majeure
Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control,
including but not limited to natural disasters, government actions, pandemics, wars, strikes, internet
outages, or third-party service failures.
15. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app
notification at least 15 days before taking effect. Continued use of the Platform after changes
constitutes acceptance of the updated Terms.
